These Terms of Service (“Terms”) form a binding agreement between you and Emuna Labs LLC (“Emuna Labs,” “we,” “us,” or “our”), governing your access to and use of our websites, products, and services (collectively, the “Services”).

By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you may not use the Services.

You agree to use the Services only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree not to:

• use the Services in any manner that could disable, overburden, damage, or impair them;
• attempt to gain unauthorized access to any portion of the Services or any related system or network;
• interfere with security or other features of the Services; or
• use the Services to transmit unlawful, harmful, or infringing content.

We may suspend or terminate your access to the Services at any time for any reason, including conduct that we believe violates these Terms.

The Services, and all content, features, and functionality available through them, are owned by Emuna Labs or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, or exploit any portion of the Services without our prior written consent, except as expressly permitted by these Terms.

The Services may contain links to or integrations with third-party websites and services. We do not control and are not responsible for the content, privacy practices, or actions of those third parties. Your use of any third-party website or service is governed by that party’s own terms and policies.

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by applicable law, Emuna Labs disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that any content available through the Services is accurate or complete.

To the maximum extent permitted by law, in no event will Emuna Labs, its affiliates, or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) the Services.

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed one hundred U.S. dollars (US$100), or the amounts you have paid us in the twelve months preceding the claim, whichever is greater.

You agree to defend, indemnify, and hold harmless Emuna Labs and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Monmouth County, New Jersey, and you submit to the personal jurisdiction of those courts.

We may modify these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Services after a change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
